Terms of Service

These Terms of Service govern your use of Yandi Aluminum's website, products, and OEM/ODM manufacturing services. Please read them carefully before placing any order or engaging in business with us.

Acceptance of Terms

By accessing our website, submitting an inquiry, placing an order, or entering into any business relationship with Yandi Aluminum (hereinafter "we," "us," or "the Company"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These Terms apply exclusively to business-to-business (B2B) transactions. Yandi Aluminum does not engage in retail sales to individual consumers. By proceeding with any business inquiry or transaction, you represent and warrant that you are acting on behalf of a legally registered business entity with the authority to enter into binding commercial agreements.

If you do not agree to these Terms, you must immediately cease use of our website and refrain from engaging in any commercial transaction with us.

Scope of Services

Yandi Aluminum provides the following B2B manufacturing and supply services:

  • Architectural Aluminum Profiles -- Door & window systems, curtain wall profiles, fence & gazebo structures, and associated surface finishing.
  • Industrial Aluminum Profiles -- T-slot framing, heat sinks, LED channels, solar frames, transportation, and precision custom extrusions.
  • OEM/ODM Manufacturing -- Custom cross-section development, mold design, tooling, surface treatment, packaging, and export logistics support.
  • Private Label Services -- Custom branding, labeling, and packaging for distributor and reseller partners.
  • Website Information -- Product specifications, technical data, company information, and inquiry submission forms provided at yandialuminum.com.

All product specifications, dimensions, tolerances, and technical parameters described on our website or in marketing materials are provided for reference purposes only. Final specifications are confirmed exclusively through written purchase agreements or signed sales contracts.

OEM/ODM Manufacturing Terms

3.1 Custom Design & Tooling

When engaging in OEM/ODM projects, the client is responsible for providing accurate technical drawings, specifications, and performance requirements. Yandi Aluminum will develop molds and tooling based on client-provided or mutually approved designs. Tooling costs, lead times, and minimum order quantities will be specified in the project quotation.

3.2 Mold Ownership & Usage

Molds and dies developed exclusively for a client's proprietary design remain the intellectual property of the client upon full payment of tooling fees, unless otherwise agreed in writing. Yandi Aluminum retains physical custody of molds for production purposes. Molds may not be transferred to third-party manufacturers without prior written consent from Yandi Aluminum.

3.3 Prototype Approval

For custom profiles, a prototype or sample approval process is required before mass production commences. The client must provide written approval of prototypes within the agreed timeline. Yandi Aluminum is not liable for production delays resulting from delayed client approvals.

3.4 Minimum Order Quantities (MOQ)

Minimum order quantities apply to all custom OEM/ODM profiles and will be stated in individual quotations. Standard catalog profiles may have separate MOQ requirements. We reserve the right to decline orders that do not meet stated minimums.

3.5 Client-Supplied Materials

If clients supply raw materials or components for processing, they bear responsibility for ensuring material quality and compliance. Yandi Aluminum will not be liable for defects arising from client-supplied materials that do not meet required specifications.

Orders, Pricing & Payment

4.1 Order Confirmation

All orders are subject to written confirmation by Yandi Aluminum. An order is only binding upon issuance of a signed sales contract or proforma invoice confirmed by both parties. Verbal agreements, email inquiries, or website form submissions alone do not constitute a binding order.

4.2 Pricing

All quoted prices are valid for the period specified in the quotation. Prices are subject to change based on fluctuations in aluminum ingot market prices (LME), energy costs, and raw material availability. Yandi Aluminum reserves the right to revise pricing before order confirmation if market conditions change materially. Confirmed orders at agreed prices will not be subject to price revision unless explicitly agreed in writing.

4.3 Payment Terms

Payment terms are specified in individual sales contracts. Standard terms typically include a deposit upon order confirmation with the balance payable before shipment or against shipping documents, as agreed. Accepted payment methods include T/T (Telegraphic Transfer), L/C (Letter of Credit), and other methods as mutually agreed. All payments must be made in the currency specified in the contract.

4.4 Order Cancellation

Orders may not be cancelled after production has commenced without written agreement from Yandi Aluminum. Cancellation of confirmed orders may result in forfeiture of deposits and recovery of costs incurred, including tooling, raw materials, and production expenses already committed.

Delivery & Shipping

5.1 Lead Times

Production lead times are estimates provided in good faith and may vary based on order complexity, surface treatment requirements, current production schedules, and raw material availability. Yandi Aluminum will communicate any significant delays promptly. Estimated lead times do not constitute a guarantee of delivery date.

5.2 Incoterms & Risk Transfer

Trade terms (Incoterms 2020) governing delivery, risk transfer, and cost allocation will be specified in each sales contract. Common terms include EXW, FOB, CIF, and DAP. Risk of loss or damage transfers to the buyer at the point specified by the agreed Incoterms.

5.3 Partial Shipments

Partial shipments may be made with the buyer's consent. Each partial shipment may be invoiced and paid for separately as agreed in the contract.

5.4 Force Majeure

Yandi Aluminum shall not be liable for delays or failures in delivery caused by circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, port strikes, pandemic-related restrictions, raw material shortages, or other force majeure events. We will notify the client promptly of any such circumstances and work to minimize impact.

Quality Assurance & Inspection

6.1 Quality Standards

All products are manufactured in accordance with applicable Chinese national standards (GB/T) and agreed specifications. Our quality management system is certified to ISO 9001:2008. Products are subject to whole-process quality control from raw material inspection through finished goods warehousing.

6.2 Pre-Shipment Inspection

Clients may request pre-shipment inspection by a mutually agreed third-party inspection agency at the client's cost. Inspection arrangements must be communicated at least 7 business days before the scheduled shipment date. Yandi Aluminum will cooperate fully with authorized inspection activities.

6.3 Claims & Defects

Any quality claims must be submitted in writing within 30 days of receipt of goods, accompanied by photographic evidence, inspection reports, and a detailed description of the alleged defect. Claims submitted after this period may not be accepted. Yandi Aluminum's liability for confirmed defects is limited to replacement of defective goods, credit toward future orders, or partial refund as mutually agreed -- not to exceed the invoice value of the affected goods.

6.4 Tolerance & Variation

Dimensional tolerances, surface finish variations, and color consistency are subject to the ranges specified in applicable standards or agreed specifications. Minor variations within accepted tolerances do not constitute defects.

Intellectual Property

7.1 Yandi Aluminum's IP

All content on this website -- including but not limited to text, images, product photographs, technical drawings, design files, company logo, brand name, and marketing materials -- is the intellectual property of Yandi Aluminum or its licensors. Unauthorized reproduction, distribution, or commercial use of any such content is strictly prohibited without prior written permission.

7.2 Client-Provided Designs

When clients provide proprietary designs, drawings, or specifications for OEM/ODM manufacturing, the client represents and warrants that they hold all necessary intellectual property rights to such designs and that production of the specified profiles will not infringe any third-party patents, trademarks, or other IP rights. The client indemnifies Yandi Aluminum against any IP infringement claims arising from client-provided designs.

7.3 Jointly Developed IP

Any intellectual property developed jointly by Yandi Aluminum and a client during an OEM/ODM project -- including new cross-section designs, technical innovations, or process improvements -- shall be subject to ownership terms agreed in writing prior to project commencement. In the absence of a written agreement, such IP shall be jointly owned.

7.4 Prohibited Uses

You may not use Yandi Aluminum's name, logo, trademarks, or any proprietary content for advertising, promotional, or commercial purposes without our express written consent. Misrepresentation of any affiliation or partnership with Yandi Aluminum is strictly prohibited.

Confidentiality

Both parties acknowledge that in the course of business discussions and OEM/ODM manufacturing engagements, each party may receive or have access to confidential information of the other party, including but not limited to product designs, technical specifications, pricing, business plans, customer lists, and manufacturing processes.

Each party agrees to:

  • Maintain the confidentiality of all received confidential information with the same degree of care used to protect its own confidential information, but no less than reasonable care.
  • Not disclose confidential information to any third party without prior written consent, except to employees or contractors who need to know such information for the purpose of fulfilling the business relationship.
  • Use confidential information solely for the purpose of the business relationship and not for competitive advantage.

These confidentiality obligations survive termination of the business relationship for a period of five (5) years. A separate Non-Disclosure Agreement (NDA) may be executed for projects involving particularly sensitive proprietary information.

Limitation of Liability

Important Notice: Please read this section carefully as it limits Yandi Aluminum's liability to you in connection with our products, services, and website.

9.1 General Limitation

To the maximum extent permitted by applicable law, Yandi Aluminum's total liability to any client for any claim arising out of or related to these Terms, our products, or our services shall not exceed the total amount paid by the client to Yandi Aluminum for the specific order giving rise to the claim.

9.2 Exclusion of Consequential Damages

In no event shall Yandi Aluminum be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of revenue, loss of goodwill, or business interruption, even if advised of the possibility of such damages.

9.3 Product Application Disclaimer

Yandi Aluminum provides aluminum profiles as manufactured goods. The client is solely responsible for ensuring that the selected profiles are appropriate for their intended application, meet applicable local building codes, structural requirements, and safety standards. Yandi Aluminum does not provide structural engineering advice and shall not be liable for damages arising from improper application, installation, or use of our products.

9.4 Website Disclaimer

The information provided on our website is for general informational purposes only. While we strive for accuracy, we make no warranties, express or implied, regarding the completeness, accuracy, or fitness for a particular purpose of any information on the website. Technical specifications may be updated without notice; always confirm current specifications with our sales team before placing orders.

Website Use

You may use our website solely for lawful business purposes related to evaluating or engaging in a commercial relationship with Yandi Aluminum. You agree not to:

  • Use automated tools, bots, or scrapers to extract content, pricing, or data from our website without permission.
  • Attempt to gain unauthorized access to any part of our website, servers, or connected systems.
  • Transmit any malicious code, viruses, or harmful content through our website or communication channels.
  • Reproduce, republish, or commercially exploit any website content without prior written authorization.
  • Submit false, misleading, or fraudulent information through any inquiry or contact form.

We reserve the right to restrict or terminate access to our website for any party that violates these terms or engages in behavior that we determine, in our sole discretion, to be harmful to our business or other users.

International Trade & Compliance

11.1 Export Compliance

All export transactions are conducted in compliance with applicable Chinese export laws and regulations, including customs declarations and export licensing requirements. Clients are responsible for ensuring compliance with import regulations, customs duties, tariffs, and applicable trade laws in their destination country.

11.2 Sanctions & Restricted Parties

Yandi Aluminum does not knowingly conduct business with parties subject to applicable international trade sanctions or parties listed on restricted trade lists. Clients represent and warrant that they are not subject to such sanctions and that the goods will not be re-exported to sanctioned destinations or end-users.

11.3 Documentation

Yandi Aluminum will provide standard export documentation including commercial invoices, packing lists, certificates of origin, and material test reports as required. Additional certifications or documentation required by the destination country must be requested in advance and may be subject to additional fees.

11.4 Anti-Dumping & Trade Remedies

Clients are solely responsible for understanding and complying with any anti-dumping duties, countervailing duties, or other trade remedy measures applicable to aluminum products imported into their jurisdiction. Yandi Aluminum provides accurate documentation to support compliance but bears no liability for import duty costs or trade remedy obligations in the buyer's country.

Disputes & Governing Law

12.1 Amicable Resolution

In the event of any dispute, claim, or controversy arising from or related to these Terms or any business transaction with Yandi Aluminum, both parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute.

12.2 Arbitration

If amicable resolution is not achieved, disputes shall be submitted to binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules. The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding on both parties.

12.3 Governing Law

These Terms and all transactions with Yandi Aluminum shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles. Individual sales contracts may specify alternative governing law by mutual written agreement.

Changes to These Terms

Yandi Aluminum reserves the right to update or modify these Terms of Service at any time. Changes will be effective upon posting to our website with an updated effective date. We will make reasonable efforts to notify existing clients of material changes via email.

Continued use of our website or continued business engagement with Yandi Aluminum following the posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

Terms agreed in signed sales contracts or purchase agreements take precedence over these general Terms of Service for the specific transaction they govern.
